Sasserath<\/a>, CPA, MS<\/strong><\/p>\n<p>As you are aware, there is a lot of confusion surrounding the Paycheck Protection Program (\u201cPPP\u201d) \u2013 maybe more confusion than certainty.<\/p>\n<p>Many of you have taken advantage of our workbook to calculate the loan amount under the PPP. We have adjusted our workbook as described below based on questions we have received:<\/p>\n<p style=\"padding-left: 30px;\"><strong>1. Q: What period should be used to calculate the \u201cAverage Monthly Payroll\u201d? <\/strong><\/p>\n<p style=\"padding-left: 30px;\">A: Based on our reading of the law, you are to use the 12 months ending on the date of the loan applications.\u00a0 From a practical perspective, the banks may require you to use calendar year 2019 as indicated in the instructions to the SBA Application.\u00a0 You should contact your lender for guidance.<\/p>\n<p style=\"padding-left: 30px;\"><strong>2. Q: Are Independent Contractor Payments included in the definition of Payroll Costs used to determine \u201cAverage Monthly Payroll\u201d?<\/strong><\/p>\n<p style=\"padding-left: 30px;\">A: Based on our reading of the law, they are included.\u00a0 This is open to interpretation, however; this <a href=\"https:\/\/www.sz-cpas.com\/blog\/wp-content\/uploads\/2020\/04\/PPP-Borrower-Information-Fact-Sheet-100K.pdf\">Borrower Summary<\/a> indicates that they are as does guidance on the <a href=\"https:\/\/privatebank.jpmorgan.com\/gl\/en\/insights\/planning\/small-business-owners-cares-act-faq\">JP Morgan Chase FAQ<\/a> regarding the CARES Act.<\/p>\n<p style=\"padding-left: 30px;\"><strong>3. Q: What is included in the definition of \u201cGroup Health Care Benefits\u201d used to calculate Payroll Costs?\u00a0 Does it only include medical or does it include vision and dental among others benefits?<\/strong><\/p>\n<p style=\"padding-left: 30px;\">A: This is subject to interpretation as there is no additional guidance in the CARES Act.\u00a0 We will provide additional information as it becomes clearer.<\/p>\n<p style=\"padding-left: 30px;\"><strong>4. Q: How is the $100,000 cap on per employee payroll computed?<\/strong><\/p>\n<p style=\"padding-left: 30px;\">A: Unfortunately, this too is confusing with no clear guidance.\u00a0 Please see \u201c<a href=\"https:\/\/www.sz-cpas.com\/blog\/wp-content\/uploads\/2020\/04\/PPP-Borrower-Information-Fact-Sheet-100K.pdf\">PPP Information Sheet: Borrowers<\/a>.\u201d\u00a0 We have highlighted several sections of the sheet that discuss this issue.\u00a0 Here are the areas of this document causing confusion:<\/p>\n<p style=\"padding-left: 30px;\"><em>The first highlighted sentence indicates<\/em>: \u201cPayroll costs are capped at $100,000 on an annualized basis for each employee.\u201d<\/p>\n<p style=\"padding-left: 30px;\"><em>The next highlighted sentence indicates<\/em>: \u201cPayroll costs include: Salary, wages, commissions or tips (capped at $100,000 on an annualized basis for each employee)\u201d and then goes on to add group health care benefits among other costs to the calculation of payroll costs and does not mention the $100,000 limitation on Payroll costs.<\/p>\n<p style=\"padding-left: 30px;\"><em>The third highlighted sentence states<\/em>: \u201cPayroll costs will be capped at $100,000 annualized for each employee.\u201d<\/p>\n<p style=\"padding-left: 30px;\">How do we interpret that?\u00a0 Are salary, wages, commissions or tips capped at $100,000 annualized for each employee or are Payroll costs capped at $100,000 annualized for each employee?\u00a0 Are both capped?\u00a0 The wording on the JP Morgan Chase site referred to above parrots the language in the <a href=\"https:\/\/www.sz-cpas.com\/blog\/wp-content\/uploads\/2020\/04\/PPP-Borrower-Information-Fact-Sheet-100K.pdf\">PPP Information Sheet: Borrowers<\/a>.\u00a0 Unfortunately, we don\u2019t have a clear answer on that yet but we will keep you updated.<\/p>\n<p>Because of the questions above, our workbook has been updated as follows:<\/p>\n<ol>\n<li>Independent contractors can be entered in the workbook by using the dropdown menu on tabs 2a and 2b, line 12.\u00a0 That functionality has always been there.\u00a0 Choose \u201cOther\u201d to enter independent contractor information.<\/li>\n<li>With regard to the $100,000 cap on employee payroll, we have two separate workbooks as follows:\n<ol>\n<li><a href=\"https:\/\/www.sz-cpas.com\/blog\/wp-content\/uploads\/2020\/04\/PPP-loan-calculation-V1.1-033020.xlsx\">PPP loan calculation V1.1 033020<\/a> calculates the cap based on payroll costs per employee.<\/li>\n<li><a href=\"https:\/\/www.sz-cpas.com\/blog\/wp-content\/uploads\/2020\/04\/PPP-loan-calculation-V2.0-040220-1.xlsx\">PPP loan calculation V2.0 040220<\/a> calculates the cap based on Salary, wages, commissions or tips per employee and will yield a higher loan amount because of that.<\/li>\n<\/ol>\n<\/li>\n<\/ol>\n<p style=\"padding-left: 30px;\">Unfortunately, without further guidance, we cannot clearly state which version is the most accurate.<\/p>\n<p style=\"padding-left: 30px;\">Please note that the workbooks are meant to be used as a guide to calculate the loan amount.\u00a0 Please consult with your advisor and bank regarding the final amount of the loan.<\/p>\n<p>As always, we wish you the best.
